The following terms and conditions must be read along side and form part of the Terms And Conditions.
Acceptance of any design quote provided by Kadeo confirms acceptance of the the Design Terms and Conditions, and the General Terms and Conditions.
1. Copyright
Until payment has been made all copyrights remain with Kadeo, once full payment has been received by Kadeo all copyrights pass to the client. However the client grants Kadeo unrestricted use of the "theme" of the design and the ability to use images of the design in any promotional materials that is wishes to.If the original business that any work was completed for becomes insolvent or closes full rights for any work created transfers back to Kadeo; Any rights are only issued to the company and at Kadeo’s discretion are non transferable.
If at any time with their dealings with Kadeo the client becomes in debt to Kadeo for any amount the company gives Kadeo the rights to resell any copyrighted material that Kadeo created for the client to recoup costs as long as the material does not contain "trade secrets".
2. Stock Images
Any stock images that are used in any design mock ups are used as an example only. If the client wishes Kadeo to purchase and use the stock images, the price of any purchased stock images will be invoiced on-top of any design fees.
3. Use Of Copyrighted Materials
The client indemnifies Kadeo from and accepts any liability from issues that may arise because their site looks similar to another copyrighted site. The client may ask Kadeo to create a design that is similar to the design they are requiring. It is up to the client to decide whether the proof provided with their quote varies enough from the original design to be considered and an original design and therefore not be considered a breach of any copyright on the original design.
4. Removal of Branding
Kadeo offers design services at a reduced rate in exchange for a small area of branding on client sites. The client agrees that if they remove any Kadeo branding form their website that was included on the original they will be liable for a Removal of Branding Fee. This fee is equal to 50% of the invoice price of the design.
